Important: These Terms are provided for general informational purposes and may not be suitable for your specific circumstances. You should seek independent professional legal advice before relying on them.

1. Acceptance of Terms

By accessing or using the Quarric Automations platform, products, or website ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

These Terms apply to all users of the Platform, including trade business clients who use our products and end customers who interact with our products on third-party websites.

2. Who We Are

The Platform is operated by Quarric Automations (ABN 67 834 409 708), a sole trader business registered in Victoria, Australia ("Quarric", "we", "us", "our"). Our website is quarricautomations.com.au.

3. Definitions

  • Client: a trade business that has been onboarded onto the Platform and uses our products (such as the AI Quote Widget) to serve their customers.
  • End Customer: an individual who interacts with a Quarric product (such as a quoting tool) on a client's website.
  • Product(s): the AI-powered tools and services provided by Quarric, including the AI Quote Widget, custom automation solutions, and related features.
  • Client Content: data provided by a client to configure and operate their products, including business details, branding assets, pricing matrices, and product settings.
  • End Customer Data: data submitted by an end customer through a Quarric product, including job details and (where voluntarily provided) contact information.
  • Output: quotes, documents, notifications, or other content generated by the Platform from Client Content or End Customer Data.
  • Third-Party Services: external services the Platform relies on (such as AI providers, payment processors, email services, hosting and automation platforms).

4. Eligibility and Authority

  • You must be at least 18 years old to create an account or use the Platform as a client.
  • If you use the Platform on behalf of a business, you represent that you have the authority to bind that business to these Terms.
  • You are responsible for ensuring the Platform is suitable for your needs and legal obligations.

5. The Platform

Quarric provides AI-powered automation products for trade businesses, including quoting tools, customer service assistants, and custom automation solutions. These products may use artificial intelligence and automation to process data, calculate quotes, generate documents, and deliver communications.

Products may be deployed on third-party websites under the client's branding (white-labelled). In such cases, the product appears to end customers as part of the client's own website, not as a Quarric product.

The Platform is provided on an "as is" and "as available" basis.

6. Client Accounts and Security

  • Client accounts are created and managed by Quarric. Clients do not self-register — accounts are set up during the onboarding process.
  • You must provide accurate information during onboarding and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account.
  • You must notify us promptly if you suspect unauthorised access or misuse of your account.

7. AI Quote Widget

7.1 How It Works

The AI Quote Widget is an embeddable quoting tool deployed on a client's website. End customers submit job details and receive an AI-calculated quote. A professional PDF quote document may be generated in the background. End customers may optionally provide their contact details to request a callback from the trade business.

7.2 Quote Disclaimer

All quotes generated through the Platform are estimates only. Quotes are calculated by AI based on the pricing matrix and job details provided and are subject to on-site inspection, verification, and adjustment by the trade business. Quarric does not guarantee the accuracy, completeness, or suitability of any quote for any particular job. The trade business is solely responsible for verifying and adjusting quotes before committing to pricing with their customers.

7.3 Client Responsibilities

As a client using the AI Quote Widget, you are responsible for:

  • Providing an accurate and current pricing matrix for your trade and services.
  • Reviewing all quotes generated by the widget before relying on them or communicating them to your customers as binding prices.
  • Ensuring that the quotes, branding, and content displayed through the widget comply with your legal and regulatory obligations, including Australian Consumer Law and fair trading legislation.
  • Responding to callback requests from end customers in a timely manner.
  • Ensuring you have the appropriate authority to collect and process the personal information of end customers who interact with the widget on your website.

7.4 White-Label Liability

Products deployed on your website are presented under your branding. As between you and Quarric, you are responsible for the customer-facing presentation of the product and for any representations made to your customers through or in connection with the product. Quarric provides the underlying technology and is not a party to any agreement between you and your customers.

8. Additional Products and Future Features

We may introduce additional products and features from time to time (such as custom automation solutions or other tools). Use of additional products may be subject to supplementary terms or product-specific conditions, which will be communicated to you at the time of activation. These Terms apply to all products and features offered through the Platform unless otherwise specified.

9. Billing, Payments, and Taxes

9.1 Agency-Mediated Billing

Where a client has been referred by a marketing agency partner, billing may be managed through the agency. In such cases, the agency collects payment from the client and remits Quarric's share. The payment terms between you and the agency are governed by your agreement with the agency, not these Terms.

9.2 Direct Billing

Where Quarric bills you directly, payments are processed by our payment provider (Stripe). You authorise us (and our payment provider) to charge the applicable fees. Subscriptions may be billed monthly in advance.

9.3 Changes to Pricing

We may change pricing, features, or plan inclusions from time to time. For existing clients on paid subscriptions, we will provide at least 30 days' notice of material pricing changes where reasonably possible. If you do not agree to a pricing change, you may cancel before it takes effect.

9.4 Cancellation

You may cancel your account at any time by notifying us in writing at contact@quarricautomations.com.au. Cancellation takes effect at the end of the current billing period unless stated otherwise. Except where required by law, we do not provide refunds for partial billing periods.

9.5 Failed Payments

If a scheduled payment fails (where direct billing applies), we may attempt to collect payment for a reasonable period. If payment is not resolved, your account may be suspended or cancelled. The data retention process described in Section 14.2 will apply upon cancellation.

9.6 GST and Taxes

Fees may include or exclude GST depending on what is displayed at the point of purchase. You are responsible for any taxes, duties, or levies applicable to your use of the Platform, except where we are required by law to collect them.

10. Acceptable Use

You agree you will not (and will not permit anyone else to):

  • Use the Platform for any unlawful, fraudulent, or misleading purpose.
  • Submit false, misleading, or deceptive pricing information that may mislead your customers.
  • Transmit malware, attempt to exploit, probe, or bypass security, or interfere with the Platform.
  • Use the Platform to harass, abuse, defame, or harm others.
  • Use the Platform to create, store, or process highly sensitive information unless we explicitly agree in writing (such as health records, biometric identifiers, government IDs, bank logins, or payment card details).
  • Reverse engineer, copy, sell, resell, rent, or commercially exploit the Platform except as permitted by us in writing.
  • Use automated scraping or extraction against our systems except through intended functionality.
  • Represent to end customers that AI-generated quotes are guaranteed, binding, or final prices without appropriate disclaimers.

We may suspend or terminate your access if we reasonably believe you have breached this section or if your use creates risk for us, other users, or third parties.

11. Client Content, Output, and Your Responsibilities

11.1 You Own Your Content

As between you and us, you retain ownership of your Client Content and the Output generated from it (to the extent permitted by law). You grant us a limited, non-exclusive licence to host, process, transmit, and otherwise use Client Content solely to provide, secure, maintain, and improve the Platform.

11.2 You Are Responsible for Your Content and Output

  • You are responsible for the accuracy, completeness, and legality of Client Content you provide (including pricing matrices, branding, and business details).
  • You must review all Output (including quotes and documents) before relying on it, communicating it to your customers, or using it for any business purpose.
  • You are responsible for ensuring Output complies with your contracts, applicable laws, and any professional or industry standards.

11.3 End Customer Data

Where end customers provide personal information through your product (such as their name, email, phone, or address via a callback request), you are the data controller for that information. You are responsible for ensuring you have the appropriate legal basis to collect and process that information in accordance with applicable privacy laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs). Quarric processes end customer data on your behalf solely to provide the service.

11.4 No Professional Advice

The Platform generates quotes, documents, and other outputs using AI, but it does not provide legal, financial, tax, engineering, compliance, or safety advice. Outputs are tools to assist your business, not substitutes for professional judgment. You should obtain independent professional advice where appropriate.

12. Privacy and Data Processing

Our Privacy Policy explains how we handle personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

AI processing: Client Content and End Customer Data submitted through the Platform is processed by AI models (Anthropic Claude) to calculate quotes and generate documents. This data is transmitted to and processed by third-party servers, primarily in the United States. The data is not used to train AI models. Full details of our third-party service providers and their data processing locations are set out in our Privacy Policy.

13. Third-Party Services

The Platform relies on Third-Party Services (including AI providers, database and hosting services, payment processors, email delivery, workflow automation, content delivery, and document generation tools). You acknowledge that:

  • Third-Party Services have their own terms and privacy policies that may apply to you.
  • We are not responsible for outages, errors, data loss, or acts or omissions of Third-Party Services.
  • Your use of the Platform may be impacted by Third-Party Service limitations (including rate limits, downtime, and policy changes).

Email deliverability: Notification emails (such as quote alerts sent to clients) are transmitted via Google Workspace. Email transmission can be delayed, blocked, filtered as spam, or rejected by recipient servers. We are not responsible for delivery failures caused by recipient settings, mail provider policies, inbox capacity, or third-party outages.

14. Suspension, Termination, and Data Retention

14.1 Suspension and Termination

  • We may suspend or terminate your access immediately if you breach these Terms, or if your use poses a security or legal risk to us, other users, or third parties.
  • You may cancel your account at any time by notifying us in writing.
  • Upon termination, your right to use the Platform ends. Sections intended to survive termination will survive (including liability limits, indemnities, and intellectual property provisions).

14.2 Data Retention After Cancellation

When your account is cancelled (whether voluntarily, due to failed payment, or otherwise), the following data retention schedule applies:

  • 30-day retention period: After cancellation, your Client Content (including business details, product configurations, analytics data, and associated end customer data) will be retained for 30 days. During this period, you may reactivate your account and your data will be restored.
  • Permanent deletion after 30 days: After the 30-day retention period, all data held in our systems is permanently deleted and cannot be recovered.
  • Emailed copies: Notification emails previously sent to you or your customers remain in those inboxes and are not affected by deletion from our systems.
  • Exceptions: We may retain limited information beyond the 30-day period where required by law, for fraud prevention, for the resolution of disputes, or to enforce these Terms. Any retained information will be limited to what is reasonably necessary for the applicable purpose.

14.3 Voluntary Data Deletion Requests

You may request early deletion of your data at any time (including during an active account) by contacting us at office@quarricautomations.com.au. We will process deletion requests within 3 business days, subject to legal retention requirements and the technical constraints of third-party services. Early deletion is irreversible.

15. Intellectual Property

  • We own all rights in the Platform, including software, templates, algorithms, branding, and underlying processes (excluding your Client Content).
  • You may not copy, modify, distribute, sell, or create derivative works from the Platform except as permitted by law or with our written consent.
  • Feedback: If you provide suggestions, ideas, or feedback about the Platform, you grant us a perpetual, worldwide, royalty-free licence to use that feedback without obligation to you.

16. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE".

  • We do not guarantee uninterrupted, error-free, or secure operation of the Platform.
  • AI-generated outputs (including quotes, documents, and calculations) may be inaccurate, incomplete, or inappropriate and must be reviewed by you before use.
  • We do not guarantee that quotes generated by the Platform will be accurate, commercially viable, or suitable for any particular job or circumstance.
  • We do not guarantee that the Platform will meet your specific business requirements or contractual obligations.

17. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, rights, or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or other applicable laws that cannot be excluded by agreement.

Where permitted by law, our liability for breach of a non-excludable guarantee is limited (at our option) to supplying the services again or paying the cost of having the services supplied again.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings).
  • We are not liable for delays, failures, or interruptions caused by events outside our reasonable control, including Third-Party Service outages, natural disasters, government actions, or internet disruptions.
  • We are not liable for any loss or damage arising from your reliance on AI-generated quotes, documents, or other outputs without independent verification.
  • We are not liable for any loss or damage arising from your failure to review output before sharing it with your customers or other third parties.

Our total aggregate liability for all claims related to the Platform is capped at the total fees paid by you (or on your behalf) to Quarric for the Platform in the twelve (12) months immediately preceding the event giving rise to the claim, or AUD $500, whichever is greater.

19. Indemnity

You agree to defend, indemnify, and hold harmless Quarric (and its officers, employees, contractors, and agents) from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to:

  • Your Client Content (including claims that it infringes third-party rights, contains misleading pricing, or violates applicable law).
  • Your use of the Platform, including your use of Output and your dealings with end customers or other third parties based on Output.
  • Your breach of these Terms or misuse of the Platform.
  • Your failure to comply with applicable privacy laws in relation to end customer data collected through your products.

20. Changes to the Platform or Terms

We may modify the Platform and these Terms from time to time. We will provide notice of material changes via the Platform, email, or our website. Continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to any changes, you should discontinue use of the Platform before the changes take effect.

21. Governing Law

These Terms are governed by the laws of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria, Australia, for the resolution of any disputes arising under or in connection with these Terms.

22. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy and any supplementary terms for specific products, constitute the entire agreement between you and Quarric with respect to the Platform. They supersede all prior agreements, representations, and understandings relating to the subject matter of these Terms.
